We advise corporate bodies, business functions and shareholders – primarily of regulated entities (banks, asset management companies, investment firms, insurance companies and pension funds) – on the definition and evolution of corporate governance frameworks, with particular focus on consistency between organisational structures, decision-making processes and sector-specific regulations.

We support regulated entities in their dealings with supervisory authorities and during particularly sensitive phases – such as inspections or supervisory proceedings – helping to prevent critical issues and managing risk profiles effectively.

Our services include:

  • assessment of the fit & proper requirements of corporate officers and assistance in the related evaluation processes;
  • definition of the qualitative and quantitative composition of corporate bodies;
  • drafting and updating of internal regulations, policies and procedures;
  • assistance in relation to conflicts of interest, related-party transactions, delegation frameworks and outsourcing arrangements;
  • assistance concerning remuneration policies for senior management and employees;
  • assistance with corporate board and committee secretarial activities and board self-assessment processes;
  • ongoing advice regarding applicable regulations.

We continuously monitor regulatory developments and, in recent years, have developed significant expertise in environmental, social and governance (ESG) matters, also working alongside leading consultancy firms and law firms on projects relating to environmentally impactful activities and energy transition.

We also provide specialist legal advice on governance, contractual review and organisational matters in connection with digitalisation and digital operational resilience (DORA).
